Before using any “Make Secure Prime” and “Make Secure Pro” services or applications, please read these Terms and Conditions carefully. These terms and conditions shall apply to the exclusion of all others including any terms and conditions of the Customer (whether on the Customer’s order or otherwise). The Customer acknowledges that these terms and conditions constitute the whole agreement between the parties unless otherwise agreed in writing. By accessing, browsing, installing, or using any “Make Secure Prime” and “Make Secure Pro” applications (“EMI Locker” and “Anti-theft service”.) you acknowledge and agree to the following:-
THE COMPANY: -“the Company” shall mean Matrix Ideal Creative Pvt. Ltd. (CIN No. U72900WB2021PTC244676) registered address at Champahati, 24 Parganas South, Church Road, Kolkata, West Bengal, PIN – 743330 represented by its Directors, successors and assigns (see mca.gov.in). This Company works as a Distributor, a Sub- Distributor and also as a Retailer.
PRODUCT: - “Make Secure Prime” and “Make Secure Pro” is an EMI recovery and anti-theft tool which helps/supports the users/companies/individuals/retailers to secure the loan amount which has been provided.
APPLICATION/SUB-PRODUCT: - The Application shall mean “EMI Locker” and “Anti-theft service”.
THE CUSTOMER: - shall mean the entity which is applying for credit in the application attached overleaf. Customer can be Distributor/ Sub- Distributor/Retailer/Individual/Users.
APP DEVELOPER: - The Company develop this Product.
DOMAIN: - The domain shall mean “https://makesecureprime.com/”. & https://matrixmyemilocker.com/makesecurepro/
SERVER: - The server shall mean “AWS console server”.
COPYRIGHT: -That all rights reserved to “Make Secure Prime” and “Make Secure Pro”.
Price of the product will be mentioned in the Proforma- Invoice after generating query about the quantities of the product.
Proforma -Invoice will be generated after confirmation of both the parties herein which contains bank details and payment link. After confirmation of the payment of the invoice amount, the customers can have the access to the product.
Delivery and/or access to the product shall be provided to the customer after confirmation and/or receipt of payment. Product once sold will not be taken back and/or exchanged.
LICENSE GRANT: - MAKE SECURE PRIME And Make Secure Pro provides a limited, non-exclusive, non-transferable, non-sub-licensable license to use its services, including the EMI Locker application. This license is:
For personal or internal business use only.
Valid for use on mobile devices owned or controlled by the user.
MAKE SECURE PRIME And Make Secure Pro does not warrant compatibility with all devices.
Modifying, reverse-engineering, decompiling, or tampering with the software.
Renting, reselling, leasing, or sublicensing the app.
Circumventing security mechanisms.
Removing any copyright or proprietary notices.
ANTI-THEFT SERVICE: -MAKE SECURE APPS,offers security features including:
Real-time location tracking
SIM card number capture
Each coupon activates services for 6 months.
If a customer discontinues, they are granted 2 complimentary months.
Post-expiry reactivation charges: ₹2,100 + GST per month.
Camera, Map, Email, WhatsApp, Facebook, Instagram, YouTube, and others.
By using MAKE SECURE apps, you consent to automatic electronic upgrades. This Agreement applies to all future updates unless stated otherwise.
All services and applications are provided on an "as is" basis.

THIRD-PARTY SERVICES DISCLAIMER: - Our apps integrate with various third-party services (e.g., Google Sign-In, Firebase, Gmail API).
Disruption or termination of any third-party service.
Consequences arising due to third-party APIs or platforms being modified, deprecated, or shut down.
If any third-party service used within the app becomes unavailable, MAKE SECURE apps is not responsible for the resulting unavailability of related features.
In case the company is dissolved or discontinues operations, all associated services and licenses shall cease to function, and MAKE SECURE apps shall not be held liable for any related consequences.

MAKE SECURE apps is strictly for authorized retailers/customers as an EMI recovery and anti-theft tool.
It is not designed or licensed for direct end-user or consumer use.
Retailers/customers are solely responsible for appropriate and legal app usage.
The company does not store customer data or bear liability for misuse.
Special, incidental, or consequential damages
Direct or indirect loss of data
Service unavailability
Misuse or unauthorized access
Business interruptions.
This applies regardless of cause, and survives termination of your account or license.
MODIFICATION OF TERMS: -MAKE SECURE apps reserves the right to modify these Terms at any time. Updated terms are effective immediately upon posting. Users are encouraged to review Terms periodically. Continued usage after changes implies consent.
DATA LOCATION: - All data (if collected in future) will reside on secure Indian servers in accordance with the law as per the Information Technology Act, 2000 and relevant laws.

JURISDICTION:- This Contract will be governed in all respects by the laws of the land, India, without regard to any conflicts. Any Party bringing a legal action or proceeding against any other Party arising out of or relating to this Agreement shall bring the legal action or proceeding in the Court of the Learned District Court, South24 Parganas, West Bengal, India.
Except as provided in these terms and conditions, all express and implied warranties under statute or general law as to merchantability, description, quality, suitability or fitness of the goods and services supplied for any purpose are expressly excluded to the fullest extent permitted by the applicable law.
All other conditions and warranties, statutory or otherwise and whether express or implied, are hereby excluded to the fullest extent permitted by the applicable law, and no guarantee, other than that expressly herein contained and the statutory guarantee that cannot be excluded or limited under the applicable law, applies to the goods and services supplied to which the guarantee relates, or any accessory or part thereof.
To the extent permissible by law, the Customer will indemnify the Company against any unauthorised express or implied warranty or representation under statute or general law as to merchantability, description, quality, suitability or fitness of the goods or services supplied for any purpose, made by the company, employee or representative of the Company. For the avoidance of doubt, a warranty or representation will be unauthorised unless the warranty or representation has previously been made by the Company or authorised by it.
Nothing in this these terms and conditions shall limit or exclude the liability of the Company for any liability which is limited till the validity of the product as applicable by the law.
The Company shall retain the copyright of its product.
In the event that the Company retains or regains possession of the goods ordered by the Customer and the Customer has not paid for the goods within the Company’s terms of trade then the Company may dispose of the goods and may claim from the Customer any loss the Company has suffered in relation to same.
The Customer agrees to notify the Company in writing of any change of ownership of the Customer within seven (7) days from the date of such change and indemnifies the Company against any loss or damage incurred by it as a result of the Customer’s failure to notify the Company of any change.
Orders placed with the Company cannot be cancelled without the written approval of the Company. In the event that the Company accepts the cancellation of any order placed with it, it shall be entitled to charge a reasonable fee for any work done on behalf of the Customer to the date of the cancellation including a fee for the processing and acceptance of the Customer’s order and request for cancellation.
(a) seek from or give to a Credit Reporting Agency personal information about the Customer at any time after accepting these conditions; and
(b) Contact any trade references or other credit providers and acquire from them or give to them personal information in relation to the Customer and its credit worthiness.
The Company will not be in default or breach of any dealing with the Customer as a result of any event beyond either party’s reasonable control (force majeure), including but not limited to, any Acts of God,fire, flood, explosion, earthquake, other natural forces, pandemic, epidemic, government restrictions imposed as a result of any pandemic and/or epidemic, war, civil unrest, strike or labour disturbance, provided that the party has not caused such event(s) to occur.
Expiration of Rights: - The term of Customer’s License to any Product will be 6 (six) months from the Start Date of the License (the “Term”), unless otherwise specified on the Order Form.
Expiration of this Contract After Expiration of rights, this contract will automatically expire and terminate upon the expiration of the last License provided under this Contract.
Effect of Expiration or Termination of Agreement. Upon any expiration or termination of this Agreement, all rights granted to Customer here under will immediately terminate and the customer will have the right to immediately and indefinitely terminate Customer’s access to and use of the Product.
